Governance and transparency

HHEI is multi-lens by composition and collaborative by posture. We are not a clinical provider, we consult, design frameworks, train, co-deliver, and license content. This page sets out our legal structure, governance, and community interest mandate in plain terms.

Community interest statement (CIC36)

HHEI carries on activities for the benefit of the following communities:

  • People with hormonal health needs across the UK, including those affected by fertility challenges, endometriosis, PCOS, fibroids, perimenopause, and menopause, at any stage of life.
  • People from ethnic minority and marginalised communities experiencing disproportionate health inequalities in hormonal health.
  • Healthcare and allied health professionals requiring access to integrated education, clinical resources, and professional development.
  • Employers, organisations, and occupational health practitioners seeking to better support their workforce.
  • Any other person or body with an interest in improving hormonal health equity or reducing health inequalities in this field.

Asset lock

In the event of winding up or dissolution, any assets remaining after satisfaction of all debts and liabilities shall be transferred to Wellbeing of Women (registered charity number 234278), or if that body is unable to receive such assets, to another asset-locked body whose purposes are consistent with HHEI's community interest purposes, as agreed by the members and approved by the CIC Regulator. No part of the remaining assets shall be distributed to members or directors.

Director conflict of interest protocol

Where a director holds a material interest in any other entity, including any related for-profit company, that director must declare the interest at the outset of any board discussion touching that entity, withdraw from the meeting for the duration of that discussion, and take no part in any vote on the matter. The declaration and withdrawal must be recorded in the board minutes. This protocol applies regardless of whether the transaction is at arm's length or whether the director considers the interest immaterial.

Annual community interest reports

HHEI files annual CIC34 community interest reports with the CIC Regulator. These reports record what the organisation has done, who it has reached, and how it has benefited its communities. They are the statutory basis for HHEI's continued CIC status, and the primary evidence base for NHS commissioning conversations and grant applications.

Our first annual community interest report will publish after our first full year of operation.
